Uganda National Oil Company (UNOC) Limited is a limited liability company solely owned by the Government of Uganda (GOU). It was established under Section 42 of the Petroleum (Exploration, Development, and Production) Act and Section 7 of the Petroleum (Refining, Conversion, Transmission and Midstream Storage) Act, both of 2013. It was incorporated under the Companies Act of 2012 as a limited liability company on June 12th, 2015.

Job Description

The Uganda National Oil Company (UNOC) Limited was established under the Petroleum (Exploration, Development and Production) Act and the Petroleum (Refining, Conversion, Transmission and Midstream storage) Act, both of 2013 and incorporated under the Companies' Act, 2012. It is a limited liability company wholly owned by the Government of Uganda. The overall function of UNOC is to handle the State's commercial interests in the Oil and Gas industry and ensure that the resource is exploited in a sustainable manner.
UNOC now invites applications from persons interested to develop their career with a dynamic and results-oriented Company to occupy the following position

Duties and Responsibilities

  • Legal Advice and Counsel: Provide legal advice and counsel to senior management and other stakeholders on a wide range of legal issues affecting the organization, including corporate governance, contracts, regulatory compliance, intellectual property, employment law, litigation, and risk management.

  • Contract Review and Negotiation: Review, draft, and negotiate contracts, agreements, and other legal documents to ensure they accurately reflect the organization's interests and comply with legal requirements.

  • Compliance Oversight: Oversee compliance with applicable laws, regulations, and internal policies and procedures, ensuring that the organization operates within legal and regulatory boundaries and manages legal risks effectively.

  • Litigation Management: Manage and oversee litigation and legal disputes involving the organization, including working with external legal counsel, developing legal strategies, and representing the organization in court or alternative dispute resolution proceedings.

  • Intellectual Property Protection: Protect the organization's intellectual property rights, including trademarks, patents, copyrights, and trade secrets, by registering and enforcing intellectual property assets and advising on infringement issues.

  • Risk Management: Identify legal risks and vulnerabilities facing the organization and develop strategies to mitigate those risks, including implementing compliance programs, conducting risk assessments, and advising on insurance coverage.

  • Corporate Governance: Ensure compliance with corporate governance requirements and best practices, including advising on board governance matters, preparing board and committee materials, and facilitating corporate filings and disclosures.

  • Training and Education: Provide training and education to employees on legal issues relevant to their roles and responsibilities, promoting legal awareness and compliance throughout the organization.

  • Policy Development: Develop and implement internal policies, procedures, and guidelines to ensure legal compliance and mitigate legal risks in areas such as data privacy, cybersecurity, ethics, and corporate social responsibility.

  • Strategic Planning: Participate in strategic planning and decision-making processes, providing legal input and guidance to senior management on business initiatives, transactions, and strategic partnerships.

Qualifications and Competencies

  • Legal Qualifications: A bachelor's degree in law (LL.B) is typically required, along with membership in the bar association of the relevant jurisdiction. Some organizations may prefer candidates with additional qualifications such as a master's degree in law (LL.M) or specialization in a particular area of law.

  • Experience: Several years of relevant legal experience, including experience practicing law in a law firm or corporate legal department. Prior experience in managerial or leadership roles may be preferred.

  • Industry Knowledge: Familiarity with the legal and regulatory framework governing the industry in which the organization operates, as well as knowledge of relevant laws, regulations, and legal principles applicable to the organization's business activities.

  • Management Skills: Strong leadership, managerial, and interpersonal skills, with the ability to lead a team of legal professionals, delegate tasks effectively, and foster a collaborative and supportive work environment.

  • Communication Skills: Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and concisely to non-legal stakeholders, including senior management, employees, and external partners.

  • Analytical Abilities: Strong analytical and problem-solving skills, with the ability to analyze legal issues, identify risks and opportunities, and develop practical solutions to complex legal problems.

  • Negotiation Skills: Proficiency in negotiation and dispute resolution, with the ability to negotiate favorable terms in contracts, resolve legal disputes, and manage relationships with external parties such as clients, vendors, and regulatory authorities.

  • Ethical Standards: High ethical standards and integrity, with a commitment to upholding legal and ethical principles in all aspects of the organization's operations.

  • Business Acumen: Understanding of business principles and objectives, with the ability to align legal strategies with the organization's overall goals and objectives and provide strategic legal advice to senior management.

  • Continuous Learning: A commitment to continuous learning and professional development, staying updated on changes in the law, emerging legal trends, and best practices in legal management.
