Job Summary
The Legal Officer (Legal Affairs) is a core legal professional responsible for providing crucial legal advice and support to Kiira Motors Corporation. This position is vital for ensuring that the Corporation’s operations, contracts, and strategic initiatives are in strict compliance with all relevant laws and regulations. The role demands an in-depth understanding of legal principles, meticulous attention to detail in contract management, and a proactive approach to intellectual property protection and litigation support. By managing legal risks and fostering an ethical culture, the Legal Officer directly contributes to the Corporation’s integrity, stability, and long-term success.
Duties, Roles and Responsibilities
1. Functional Responsibilities: Legal Counsel & Risk Mitigation
The Legal Officer’s core functional role is to manage the legal aspects of the Corporation’s operations, ensuring compliance and protecting its interests.
1.1. Contract Management & Review
Review, draft, and negotiate a wide range of legal documents, including contracts, agreements, memoranda of understanding, and non-disclosure agreements, ensuring they align with corporate objectives and legal requirements.
Monitor adherence to key contractual terms and deadlines, providing timely advice to internal stakeholders to prevent breaches.
Support the Corporation in ensuring all agreements and contracts comply with the relevant National and International Laws, Rules and Regulations.
1.2. Intellectual Property (IP) Management
Assist in the management and protection of the Corporation's intellectual property portfolio, including patents, trademarks, and copyrights.
Coordinate the filing of IP applications and ensure all necessary documentation is meticulously maintained and up-to-date.
Support legal actions and strategies to enforce the Corporation’s IP rights and defend against claims of infringement.
Collaborate with the Product Development team to identify new innovations and secure their legal protection.
1.3. Litigation & Dispute Management Support
Provide support in managing legal cases and disputes involving the Corporation, liaising with external counsel and gathering necessary documentation.
Assist in preparing for legal proceedings and track the status of all pending legal cases.
Support the implementation of strategies to resolve legal disputes efficiently, aiming to minimize time and legal costs incurred.
1.4. Legal Risk Management & Compliance
Proactively identify and assess potential legal risks across all corporate activities, including in areas of employment law, product safety, environmental regulations, and corporate governance.
Contribute to the development and implementation of risk mitigation strategies and internal legal controls.
Monitor changes in relevant laws and regulations to ensure the Corporation’s policies and practices remain compliant.
1.5. Any other Duties: Any other Responsibility assigned by the Supervisor vital to Supporting Vision Execution, Enhancing Organizational Excellence and Fostering Cross-Functional collaboration.
2. Social Responsibilities: Fostering an Ethical Culture
The Legal Officer serves as a trusted advisor, fostering an ethical and collaborative culture built on mutual respect and professional integrity.
2.1. Inter-Departmental Collaboration
Work cooperatively and collaboratively with all departments (e.g., OCEO, Product Development, QHSE, Finance, Production, HRA, Marketing and Sales etc) to provide timely legal advice and support.
Act as a trusted point of contact, building strong working relationships based on professional competence and a service-oriented mindset.
2.2. Upholding the Code of Ethics
Serve as a champion for the Corporation’s Code of Ethics and Professional Practice, ensuring that all employees are aware of their legal and ethical obligations.
Promote fair dealing and legal compliance in all business transactions, acting as a steward of the Corporation’s reputation.
3. Emotional Responsibilities: Integrity, Objectivity & Resilience
The role demands unwavering integrity, professional objectivity, and emotional resilience to handle sensitive information and navigate contentious situations with a calm and measured approach.
3.1. Discretion & Confidentiality
Maintain absolute discretion and confidentiality in all matters, especially those involving legal disputes, personnel records, or sensitive business information.
Uphold integrity and objectivity, ensuring legal advice is grounded in fact and law, free from personal bias or prejudice.
3.2. Composure Under Pressure
Maintain composure and a professional demeanor when faced with contentious issues, tight deadlines, or high-stakes legal situations.
Demonstrate resilience in managing workload and competing priorities, ensuring critical legal matters are addressed promptly and effectively.
Qualifications, Education and Competencies
Education Background
Bachelor's Degree: Bachelor of Laws (LLB) with Honour or related field from a Recognized Institution.
Postgraduate Diploma in Legal Practice from the Law Development Centre is an Added Advantage
Experience
Experience in a corporate legal department or a law firm specializing in corporate, commercial, or intellectual property law is highly desirable.
SKILLS AND COMPETENCES
1. Legal Expertise: Strong knowledge of corporate law, contract law, intellectual property law, and relevant national and international regulations.
2. Analytical & Research Skills: Exceptional analytical and legal research skills with a meticulous attention to detail. Expertise in using digital legal databases and online search engines to conduct thorough legal research, case law analysis, and monitor regulatory changes.
3. Communication & Drafting: Outstanding legal drafting and communication skills, both written and verbal. Ability to articulate complex legal concepts clearly and concisely.
4. Problem-Solving: Proven ability to identify legal risks, assess their impact, and develop practical, legally sound mitigation strategies. Leveraging data and digital tools to analyze legal trends, identify risks, and develop innovative, technology-enabled legal solutions.
5. Integrity & Professionalism: Unquestionable integrity, ethical conduct, and discretion in handling sensitive information. Upholding the highest standards of integrity and confidentiality when handling digital information, particularly sensitive legal and personnel records.
6. Proficiency in LegalTech Platforms: : Skilled in using legal management software for case tracking, document management, and contract lifecycle management. This ensures efficient workflow and a clear audit trail for all legal activities.
7. Cybersecurity & Data Privacy Acumen: Strong understanding of data privacy laws (e.g., Data Protection and Privacy Act, 2019 in Uganda) and cybersecurity principles. This is crucial for safeguarding sensitive corporate information and employee data.
8. AI for Legal Analysis: Basic knowledge of how AI tools can be applied to legal work, such as for contract review, due diligence, and e-discovery. This demonstrates forward-thinking and an ability to leverage technology for efficiency.
9. Internet & Social Media Policy Enforcement: Ability to monitor and provide legal advice on compliance with the company's Internet and Social Media Policy. This includes handling issues of defamation, intellectual property infringement, and data privacy in the online space.
10. Productivity & Communication Tools: Proficiency in the Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and other collaboration tools like Microsoft Teams. This ensures effective communication, professional document creation, and seamless collaboration with internal and external stakeholders. The capacity to quickly learn and adapt to new technologies and digital platforms that enhance the legal function's efficiency and effectiveness.
