To strengthen the Bank’s governance and legal framework, BRAC Uganda Bank Ltd is seeking a qualified professional for the following position:

Reports to: Head of Legal & Company Secretary

Purpose of the Role

The Legal and Governance Manager will support and deputize the Head of Legal & Company Secretary in managing the Bank’s legal and governance functions. The role involves overseeing legal risk management, supervising legal officers, ensuring statutory and regulatory compliance, and enhancing corporate governance practices across the institution.

How to Apply

1. Legal Advisory and Risk Management

  • Provide day-to-day legal advice to internal stakeholders to minimize legal risk across the Bank.

  • Supervise and coordinate litigation and threatened claims in collaboration with external counsel.

  • Review, negotiate, and draft contracts, loan documentation, and other legal instruments.

  • Monitor statutory and regulatory compliance and identify emerging legal risks.

  • Review legal opinions and submissions before escalation to the Head of Legal & Company Secretary.

  • Prepare periodic legal department reports for Management and the Board.




2. Governance and Compliance Oversight

  • Support the Head of Legal & Company Secretary in managing Board and Committee affairs, including document preparation, compliance with Board charters, and review of meeting minutes.

  • Oversee the implementation of corporate governance best practices across departments.

  • Track and monitor regulatory obligations (e.g., BoU, URSB, FIA, AML compliance) to ensure timely filings and disclosures.

  • Coordinate Board induction programs and governance capacity-building sessions.

  • Manage Board document archives, resolutions, and execution tracking systems.

  • Draft and update governance-related policies, charters, and internal frameworks.

3. Legal Department Leadership

  • Supervise Legal Officers, oversee case allocations, and monitor departmental performance.

  • Lead the induction and mentorship of new legal staff, ensuring consistent quality standards.

  • Ensure compliance with internal reporting requirements and service level agreements (SLAs).

  • Support the development and management of departmental knowledge resources and best practices.

  • Bachelor of Laws (LLB) degree and a Postgraduate Diploma in Legal Practice.

  • Valid Practicing Certificate from the Law Council.

  • Master’s degree in Law or a related field is an added advantage.

  • Minimum of 5 years of combined experience in a law firm and/or regulated financial institution.

  • Proven experience supporting Boards, managing governance compliance, and supervising legal teams.


Knowledge, Skills, and Competencies

  • Strong understanding of corporate, governance, banking, and regulatory law.

  • Excellent research, drafting, analytical, and negotiation skills.

  • Leadership ability with a track record of team management and mentorship.

  • High ethical standards, integrity, and confidentiality in handling sensitive matters.

  • Working knowledge of corporate governance codes and regulatory reporting requirements.

  • Familiarity with Banking, Finance, and Insurance Laws is an added advantage.

  • Exceptional communication and presentation skills.

  • Ability to exercise sound judgment, discretion, and professionalism.
