Job Description
Reporting to the Manager Board Affairs, the Senior Legal Officer (Board Affairs) is tasked with advising the company and its Board on legal matters, supporting Board activities, ensuring contract compliance, and representing the Company in judicial and administrative matters. The role involves working closely with the Office of the Solicitor General, handling employment and labor relations issues, conducting legal filings and registrations, and contributing to strategic planning and budgeting processes. The officer will also handle corporate secretarial responsibilities where needed and provide expert input into board governance processes.
Duties, Roles and Responsibilities
Participate in compiling information for business planning, budgeting, and review processes.
Facilitate and support Board operations and ensure proper documentation and compliance.
Provide legal advice to the Company and its Board on operational and governance-related matters.
Support and oversee the preparation and review of contracts and agreements.
Represent the Company in judicial and administrative proceedings.
Collaborate with the Office of the Solicitor General on legal and constitutional issues.
Advise the Company on employment law and labor relations matters.
Conduct legal searches, document registration, and filings.
Perform any other lawful duties assigned by the immediate Supervisor.
Qualifications, Education and Competencies
Qualifications:
Bachelor’s Degree in Law (LLB) from a recognized university.
Postgraduate Diploma in Legal Practice; must be an enrolled Advocate with a valid practicing certificate authorized to appear before the High Court.
Master’s Degree in Law, Mining Law, Natural Resources Law, Management, or a related field.
Additional qualification from the Chartered Institute of Secretaries and Administrators is an added advantage.
Experience:
Minimum of six (6) years relevant legal experience in a public or private institution involved in natural resources, four (4) of which should be at a senior level.
Practical experience and exposure in legal affairs and Board operations of large public or commercial organizations.
Competencies:
Strong understanding of corporate governance and Board procedures.
Excellent communication, interpersonal, and advisory skills.
Good organizational and documentation management skills.
Ability to work with senior executives and government stakeholders.
Proactive legal risk assessment and problem-solving capabilities.
