Job Description
The General Manager Corporate Services role is a gatekeeper and critical driver in building and maintaining the relationships between MTN MoMo and Bank of Uganda, the Government, the Board of Directors, and Board of trustees.
Provide legal advisory and backstop to the Managing Director, Management, Board, and shareholders on a real-time basis.
For purposes of Governance oversight, the General Manager Corporate Services role is at the forefront of driving governance through company secretarial services to the MTN MoMo Board and committees.
Duties and Responsibilities
Ensure the Development and implementation of the company's corporate Governance Policies.
Responsible for the effective Governance of the organization and that its governance structures are aligned to the approved frameworks.
Has a key role to play in ensuring that board procedures are both followed and regularly reviewed.
Providing the directors of the company collectively and individu ally with guidance as to their duties, responsibilities and powers.
Making the directors aware of any law relevant to or affecting the company.
Reporting to the company's board any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the company or the Act.
Responsible for the guiding and ensuring that the governance forums of the organization are properly managed, and their mandate are executed in terms of the workplan and ToRs.
Provides the board with guidance on what their responsibilities are under the rules and regulations to which they are subject and on how these responsibilities should be discharged.
The Company Secretary serves as a guardian of compliance, a facilitator of communication between the board of directors and other stakeholders, and a custodian of corporate records.
Ensures that the Company as a separate legal entity complies with its statutory obligations in relation to filings and submis- sions applicable to the governance function of the organization.
Ensures that the management and retention of shareholder and entity information is aligned to legal requires.
Ensures that the Board and management forums function effectively and oversees the overall administration for the Board. KEY PERFORMANCE INDICATORS (SMART):
Assessment of the Group Fintech Governance Environment.
Review of the governance e assessment if the Fintech group.
Implementing recommendations relating to (Board constitution, committee establishment, Governance
Policies to be adopted, training and development).
Establishment of the Group Fintech Governance Structure.
Appointment of directors (As per Group Board approval and or as per Fintech Board approval for OpCo's).
Establishment of harmonised Board Forums.
Establishment of harmonised Fintech Exco Forums (at Group and OpCo Level).
Board inductions and training. Statutory Compliance.
Ensuring that all statutory records for all OpCo and Fintech are properly retained.
Assessment of status of retention compliance of the Fintech entities.
Implementation of the Governance Operating model.
Group Fintech Board and Exco Governance induction and training.
OpCo Boards and Exco governance documents alignment and harmonization.
Socialization of Governance framework and policies.
Streamlined Retention and administration.
Development of a Group Fintech Governance Calendar.
Onboarding of Fintech entities
Developmen
t of Company Secretarial retention systems and processes.
Qualifications and Competencies
LLB (Bachelor of Law).
Enrolled Advocate.
LLM in Commercial Law preferable in IT and Telecoms Law,
Member of ICSA.
Experience:
At least 7 years' experience in a busy corporate or Commercial practice as a senior legal officer.
At least 5 years' experience as an Advocate.
Experience in Fintech, banking or financial services is preferred.
Experience working in a global/multinational enterprise with a good understanding of emerging markets.
