Job Description
The successful candidate will be responsible for managing the delivery of corporate governance and company secretarial duties for Guernsey funds and corporate structures, some of which may be listed entities. The role includes drafting and reviewing board documents, attending and minuting board meetings, maintaining statutory records, ensuring regulatory compliance, and guiding junior team members. The role also requires liaising with regulators, auditors, and advisors, and includes the opportunity to contribute to internal process improvement, knowledge sharing, and business development efforts.
Duties, Roles and Responsibilities
Deliver high-quality company secretarial services in accordance with regulatory requirements and service agreements
Act as the main contact for a client portfolio and develop strong client relationships
Lead and guide junior team members; review their work and provide training
Prepare and distribute board packs; attend and minute board meetings as needed
Draft and review governance documents, D&O forms, filings, and announcements
Use GFSC, Guernsey Registry, and stock exchange portals
Draft governance sections of financial statements and collaborate with fund accountants
Ensure statutory registers and client records are up to date
Stay informed on constitutional, regulatory, and listing requirements
Support internal projects, billing, and office administration
Monitor changes in legislation and provide regulatory updates to the team
Liaise with regulators, lawyers, auditors, and other third parties
Ensure smooth transition of new clients into the Corporate Secretariat function
Support business development and policy enhancement
Ensure compliance with AML regulations and internal risk procedures
Adhere to CPD requirements and promote JTC’s values and policies
Qualifications, Education and Competencies
Essential Requirements
Proven leadership and management experience
Strong background in Company Secretarial functions
In-depth knowledge of Guernsey laws and regulations
Familiarity with stock exchange listing rules
Understanding of fiduciary responsibilities and internal controls
Excellent written and verbal communication skills
Strong attention to detail and accuracy
Ability to deliver under pressure and meet deadlines
Commitment to ongoing professional development
